These Terms of Service ("Terms of Use") of AppCentral’s games, made available by App Central Ltd. ("App Central" or "our" or "us" or "we") together with our Privacy Policy available here – http://app-central.com/privacy-policy ("Privacy Policy") and Additional Terms (as defined below) collectively known as ("Terms") govern the user's ("User" or "you" or "your") access and use of services, website and/or mobile applications, content, information, and/or other materials related to certain games we provide (each a “Game” and with related software, services, content, information, and/or other materials related thereto "Service"). For example, the Services includes the Game application and [http://app-central.com] website (“Website”).

You are advised to read the Terms carefully. By attempting to make any use of the Services you confirm all Terms (including the Privacy Policy) and undertake to be bound by them. If you do not agree to any of the Terms, cease making any use of the Services and remove any related software from your device.

Services, Prizes and User Content. 

1. Each User is granted a personal, non-commercial, revocable, license to download the Games and Services in executable code only, play the Games create and upload User Content and view other Users User Content; all subject to the Terms. No other right is granted hereunder. Commercial use of the Service is specifically and expressly prohibited.

2. We reserve and hold the right to modify, suspend, or terminate the Service or your access to the Service at any time, for any reason and at our own discretion, and without notice or liability. In addition, we also reserve the right to refuse access to the Service to you or any other User any reason at any time at our own discretion and with no liability.

3. Certain Services/Game(s) may be subject to additional terms, rules, scoring rules, controls, guidelines, etc, which shall also be deemed as part of the Terms.

4. As part of the Services, certain benefits, privileges, items, may be granted, earned, licenses awarded, gifted, provided to and/or purchased by you (“Prizes”). Certain Prizes may be gained by a User when achieving certain goals in a Game or several Games. Some Prizes may be redeemed as cash or other consideration a certain point. The Prizes shall be subject to Additional Terms as may be provided by App Central from time to time (without derogating from our right to provide specific Additional Terms relating to certain Prizes or type(s) of Prizes), such Additional Terms may include terms and requirement relating to the ability to redeem the Prizes (such as authentication requirements and minimum Prize amount).

5. Our Service provides users with a gaming experience including the option to be listed score rankings and the ability to post and share content and results in the Service to social media platforms (“User Content”). 

6. Games are usually subject to progressive level of difficulty. So for example same task / action in a certain Game shall provide a User lower score as he/she become more experienced in such Game. Another example may be that the same score be granted for more difficult tasks / actions within the Game. 

 

User Account.

1. To use some of the Services you may be required to first set up an account (“Account”).  To set up an Account you may be asked to provide us with certain information, personally or through providing us with access to accounts you have in third parties’ platforms (such social network accounts) (“Account Details”). You hereby represent and warrant that the Account Details you provide us with are true, correct, complete and up to date. You further undertake to update your Account Details in case they are not accurate. Play Perfect may permanently or temporarily terminate, suspend, or otherwise refuse to permit your access to the Service (including any Game even if you already have an Account in place) without notice and liability upon any violation of the Terms. it is clarified that the termination of your Account shall not relieve you from the Terms and that even following such termination you will continue to be bound by the Terms. 

2. The Account is personal, and you may set up only one Account. Your Account gives you access to the Services and functionality that we may establish and maintain from time to time and in our sole discretion. Additional provisions which apply to the Account are specified below.

3. You may only register for a single Account and may not use or access multiple accounts at the same time. You specifically agree that you shall not create false personas, multiple identities, multiple user accounts, set up an Account on behalf of someone other than yourself, use bots or other automated software programs to defraud or which otherwise violate the Terms. 

4. You remain fully liable and are solely responsible for any act or omission made in respect to your Account, regardless of whether these actions were taken by you or an unauthorized third party that has gained access to your Account. You are required (and responsible) for keeping your Account Details secure and not sharing your Account Details with anyone. You are required to prevent any minors (including any of you family members) from using your Account. Note that if you leave your Device unattended third parties may use your Account and therefore required to keep your Device in you possession whenever you are making any use of your Account and make sure your Device is locked once such usage has ended.    

5. We may, at our discretion, limit, suspend, terminate, modify, and/or delete Accounts or access to the Services or any portion thereof, and deny access to the Games and Website (especially if we determine that your Account has been involved in any illegal or improper activity).

Software, Device and Device Data

1. In order to use the Services certain equipment (computer, mobile device, tablet, etc.) is required. You are responsible for any equipment so required including the payment of any fees relating thereto, such as internet connection or mobile fees, or for data or cellular usage to download and use the Services.

2. Using the Services requires an internet connection to our servers and certain hardware (such as device to which games will be uploaded or through which the Website will be used (“Device”)), and we may need to collect certain information from you and your internet provider and the Device you use in order to make the Games and Services available to you. Such data may include data pertaining to your hardware system profile data, internet connection data and any other data related to the operation of the Services from any device that logs onto the Services using your Account (“Device Data”). 

3. We may choose to offer technical support for Games or the Services from time to time in our sole discretion. Such technical support may require that we remotely access your Device. We may also update the Games or deploy patches, updates, and modifications to the Services, as applicable, through remote access of your Device without your knowledge. You hereby consent to such activities. You acknowledge that if we cannot remotely access your Device, then the Games may no longer work, and this may prevent you from receiving the Services (and may prevent you from participating in competitions or tournaments, even if you have previously registered).

4. We do not warrant that our Services will work on all devices. You are solely responsible for obtaining and maintaining compatible devices necessary to access and use our Services (including the Website and any Game), as updated from time to time.

Modification to Terms

The Terms are subject to our modification from time to time at our own discretion and the date of the last modification shall be the binding Terms. When we make modifications that we consider material, we may attempt to notify you through the Service. Regardless, you should periodically review the most up-to-date version of the Terms and your continued use of the Service constitutes your acceptance of any modifications to the Terms.

Content on the Service

The Service allows you to play games and post comments and other media to the Service, collect Tickets and enter these into contests, all of these constituting User Content as defined above. We iterate that we reserved the right at our own discretion and at all times to remove any User Content on the Service.

In addition, any responsibility for User Content is help upon you, the User and you accept that User Content created by yourself may be posted or be available to other users of the Service third party apps, websites and services. 

You are reminded to only post User Content that you are comfortable sharing and that we handle your posts in accordance with the aforementioned Privacy Policy.

App Central Rights

All rights, titles, and interests in the Service are and will remain the exclusive property of us and is hereby protected by copyright, trademark, and other applicable laws of Israel as well as foreign countries where the Service might be used. We also reserve all rights not expressly granted in the Terms and you acknowledge and agree that any feedback, comments, or suggestions provided by yourself regarding the Service is entirely voluntary and is at our disposable for free use as we see fit and without any obligation to you.

Restrictions on Content and Use of the Service

The following restrictions will apply during use of the Service and during any interaction with us or with the Service in order to provide the best service to all users:

You may not post User Content that:

1. Violates any rights of a third party, such as copyright, trademark, privacy, and publicity rights

2. Contains sexually explicit or pornographic content

3. Contains content that is abusive, defamatory, derogatory, discriminatory, or harassing, or that incites hatred against any individual or group or that violates applicable defamatory or discriminatory laws 

4. Contains a direct and specific threat of violence to others

5. Impersonates another person or entity in a manner that does or is intended to mislead, confuse, or deceive others

6. Exploits minors

7. Depicts unlawful acts, extreme or real-life violence, or self-harm

8. Depicts cruelty towards animals

9. Constitutes spam or an abuse of social media tags

10. Promotes fraudulent schemes, multi-level marketing (MLM) schemes, get rich quick schemes, online gaming and gambling, cash gifting, work from home businesses, or any other dubious money-making ventures

11. Violates any law, judicial decision, governmental regulation or is otherwise in furtherance of an illegal activity

You may not engage in the following prohibited activities while accessing or using the Service:

1. Access, tamper with, or use non-public areas of the Service, our computer systems, or the technical delivery systems of our providers

2. Probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures either provided by us or by third parties

3. Access or search or attempt to access or search the Service by any means (automated or otherwise) other than through our publicly currently available, published interfaces that are provided by us

4. Scrape the Service, or scrape User Content from the Service, without our prior written consent

5. Forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Service to send altered, deceptive, or false source-identifying information

6. Interfere with or disrupt (or any attempt to do so) access to the Service of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Service, or by scripting the creation of User Content in such a manner as to interfere with or create an undue burden on the Service or us

7. Use the Service in unreasonable or dishonest manner, such as by using automated means, bots, etc.

We reserve the right to enforce, or not to enforce, these restrictions in our sole discretion and at any time, but we iterate that these restrictions do not create a duty or contractual obligation for us to act in any particular manner.

Term and Termination

1. The Terms shall be in force until terminated by either you or by us. 

2. We reserve the right, at any time without notice or liability, and for any reason whatsoever, to terminate, change, suspend or discontinue any aspect of the Terms (or any part thereof), the Service (or any part thereof), for some or all Users, and thus suspend and/or terminate your access to and/or cease providing you with all or part of the Service at any time for any reason. This right encompasses (i) changing the availability of, restricting access to, or imposing limited on any or all features or services on, or link to, this Service; (ii) removing, adding, modifying or otherwise changing fees or charges arising out of use of this Service or any features of this Service; and (iii) removing, adding, modifying or otherwise changing any Content of this Service, including any User Content posted by you. We reserve the right, and at our sole discretion, to correct any errors or omissions in any portion of this Service at any time without notice but confirm that we have no obligation to do so.

Disclaimer of Warranties

1. While we provide the best service we can whilst taking reasonable steps, any access to the Service is done at your own risk. 

2. The Service are provided “as is", “as available", with all faults and without warranties, representations or conditions of any kind (including with respect to non-infringement or fitness for a particular purpose). We assume no responsibility in connection with the Services and are not liable for the creation, delivery, or deletion of any User Content, and/or for the failure to store any User Content and/or settings of the Service. 

3. We will not be liable for any interruptions of the Service in connection with occurrences which are not in our sole control. For example, we will not be liable for any interruptions related to power shortages, internet, hosting and telecommunications providers. TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

4. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE SERVICE, AND DISCLAIM ALL RESPONSIBILITY AND LIABILITY ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE SERVICE, INCLUDING THE FOLLOWING:

• COMPLETENESS, ACCURACY, AVAILABILITY, TIMELINESS, SECURITY OR RELIABILITY OF THE SERVICE OR ANY USER CONTENT

• ANY HARM OR DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, OR OTHER HARM OR DAMAGE THAT MAY RESULT FROM YOUR ACCESS TO OR USE OF THE SERVICE, OR ANY USER CONTENT POSTED BY YOU OR OTHER USERS

• DELETION OF, OR THE FAILURE TO STORE OR TO TRANSMIT, ANY USER CONTENT AND OTHER COMMUNICATIONS MAINTAINED BY THE SERVICE

• WHETHER THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS

Limitations of Liability

To the maximum extent permitted by applicable law, we shall not be held liable for any consequential, incidental, indirect, punitive, or special damages or harm of any kind, or any damages or harm whatsoever, or loss of profits or revenues, whether incurred directly or indirectly, or any loss or data, use, goodwill, or other intangible losses to you, resulting from:

1. Your access to or use of, or inability to access or use, the Service;

2. Any conduct or User Content or any third party on the service, including without limitation, any defamatory, offensive, or illegal conduct or other users or third parties that you may experience;

3. Any content obtained from the Service; or

4. Unauthorized access, use, or alteration of your user content.

Third Party Content. The Services (including the Website, the Games and the Prizes) may make available to you certain content and/or services (including via advertisement and/or links) of third parties ("Third Party Content"). We may share data related to you with third parties who provide Third Party Content, in accordance with our Privacy Policy. Third Party Content is provided for your convenience and any use thereof is made at your own risk. We makes no representation or warranty regarding any content, goods and/or services made available via Third Party Content (even if linked to from the Services or the Games). We do not endorse any Third Part Content and is not liable in any way for such content. App Central is not responsible for content, business practices or privacy policies of third parties who provide Third Party Content. Your relationship (including how your information is used, stored, and shared) with such third parties will be governed by their policies and documents to which we are not a party.

Indemnification

By using the Service, you agree to indemnify and hold our representatives harmless, including suppliers and licensors and any other associated third parties from and against any and all losses, expenses, damages, harms, claims, fines, penalties, costs and liabilities (including reasonable legal and accounting fees), resulting from your use or misuse of the Service and/or your breach of any of the Terms.

Specifically, you hereby agree to indemnify our representatives, suppliers and licensors for any injury, including but not limited to bodily harm or death, to you or any third party that may result from the use of or reliance on any information you obtain through your use of the Service.

Applicable Law and Jurisdiction

The Terms and all matters relating to it shall be governed by and construed in accordance with the laws of Israel. Any action or proceeding arising out of or relating to the Terms or the Services shall be brought and maintained exclusively by the competent courts of Tel Aviv, Israel.

Entire Agreement

The Terms, including the Privacy Policy constitute the entire and exclusive agreement between us and you regarding the use of the Service, and the Terms supersede and replace any prior agreements between us and you regarding the Service.

Waiver and Severability

Any failure or non-action by us to enforce any provision or right of the Terms will not be deemed as a waiver of any such provision or right. 

In any event that any provision of the Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary such that the remaining provisions will remain in full force and effect.
